SERVICE AGREEMENT

 

This Service Agreement (“Agreement”) is made and entered into as of ____________________,  by and between:

 

Service Provider: CJDB LLC, doing business as Car Jockeys, a Florida limited liability company with its principal place of business at 11506 Tangle Branch Ln., Gibsonton, FL 33534 (“Car Jockeys” or “Provider”),

 

and

 

Client: ________________________________________, an individual Turo host with a mailing address of _______________________________(“Client” or “Turo Host”).

 

Provider and Client are each referred to herein as a “Party” and, collectively, as the “Parties.”

 

WHEREAS, the Provider offers vehicle delivery, management, and support services for Turo hosts in the Tampa Bay area, including various partnership plans;

 

WHEREAS, the Client desires to engage the Provider to perform such services for the Client's specified vehicle(s) under one of the Provider's partnership plans;

 

NOW, THEREFORE, in consideration of the mutual promises, covenants, and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

 

1. Services

The Provider agrees to provide services to the Client as described in the selected Partnership Plan (the “Services”). The Services are tied specifically to the Client as the Turo Host and the following vehicle(s):

The Client selects one of the following Plans (check one):

 

☐ Support Partner Plan ($150 per month): Entry-level partnership for semi-outsourced operations with basic discounts. Features include 20% off deliveries (e.g., WSP➡️TPA: $16 One Leg Delivery, $40 Full Service Roundtrip); garage storage at $55/month; extras such as short notice fees ($24 within 3 hours), car seats ($16, first 3 months free), and inspections ($16–$40); VA support at $4/daily or $32/monthly; no maintenance rebates. The Client may assist with easy tasks to offset costs, while Provider handles harder operations. Details are found at https://carjockeys.com/plans/support 

 

Operations Partner Plan ($300 per month): Mid-tier outsourcing for physical operations with VA backup. Features include 50% off deliveries (e.g., SRQ: $35 One Leg Delivery); free short routes (e.g., TPA, PIE, <10 miles from Westshore); extras such as short notice fees ($15 within 3 hours), car seats ($10, first 3 months free), and rebates (oil change $15, tires $5); VA support at $4/weekly or $16/monthly for 24/7 help, including claims handling ($26 for damages); free airport parking (Client pays fuel only). Full-Service Partner Plan ($350 per month): Premium all-in outsourcing for physical and virtual operations. Features include 60% off longer deliveries (e.g., SRQ: $28 One Leg Delivery); free extras such as short notice, EV charging, car seats/boosters, and most detailing (e.g., $0 leather conditioning); top rebates (oil change $25, tires $10, wipers $5); full VA support free for 24/7 and after-hours, including claims handling (success-based, 2% commission on total loss); free garage and parking (Client pays fuel/EV costs, managed by Provider).

All Services are one-way unless specified as roundtrip. The Provider shall perform the Services in a professional manner, complying with all applicable local, state (including Florida), and federal laws, and to the best of its abilities. Detailed terms, including any incidentals (e.g., fuel, parking), are as outlined in the Provider's current Price List, incorporated herein by reference.

 

2. Term

The initial term of this Agreement shall be three (3) months, commencing on the date first written above (the “Initial Term”). Upon expiration of the Initial Term, this Agreement shall automatically renew on a month-to-month basis (each a “Renewal Term”) until terminated by either Party in accordance with Section 3.

3. Termination

Either Party may terminate this Agreement at any time after the Initial Term by providing thirty (30) calendar days' written notice to the other Party. Notice must be given via email to jon@carjockeys.biz or text message to +1-813-557-3262. The 30-day notice period shall commence on the date the notice is received. During the notice period, the Client shall pay for all Services rendered up to the termination date. Upon termination, the Provider shall cease Services, and the Client shall return any Provider property. Early termination during the Initial Term is not permitted except for cause (e.g., material breach), in which case the non-breaching Party may terminate immediately upon written notice.

4. Changes to Terms, Prices, and Conditions

The Provider reserves the right to modify the terms, prices, or conditions of any Plan, including fees, discounts, features, or rebates, upon providing thirty (30) days' advance written notice to the Client via email. Such changes shall become effective on the first day of the month following the expiration of the notice period. The Client's continued use of the Services after the effective date constitutes acceptance of the changes. If the Client does not agree to the changes, the Client may terminate the Agreement in accordance with Section 3.

5. Payment

The Client agrees to pay the monthly fee for the selected Plan as specified in Section 1. Payments are due on the first of each month via Venmo (@CarJockeys), Zelle (payments@carjockeys.biz), or credit card (with a 3.5% fee). For incidentals or extras not included in the Plan, the Client shall be billed weekly. Late payments may incur fees as per Florida law. All payments are non-refundable except as otherwise stated.

 

6. Client Responsibilities: Insurance, Registration, Maintenance, Service, and Repairs

The Client, as the vehicle's owner, is solely responsible for ensuring that the specified vehicle maintains appropriate auto insurance coverage, including but not limited to liability, collision, and comprehensive coverage as required for Turo hosting and in compliance with Florida law (e.g., Florida Statutes Chapter 324). The Client must also ensure the vehicle has current and valid vehicle registration at all times.

 

The Client is responsible for all vehicle service, maintenance, and repairs, including routine upkeep, scheduled servicing, and any necessary fixes to keep the vehicle in safe, operational condition. The Provider will communicate observations regarding the vehicle's condition, potential issues, or scheduled maintenance needs to the Client promptly via email or text. However, the Client must make all arrangements for such service, maintenance, or repairs, including at Original Equipment Manufacturer (OEM) service centers if required or preferred.

 

The Provider may, at the Client's request and expense, facilitate maintenance, service, or repairs through its network partners. Any such facilitation does not transfer responsibility from the Client, and the Client remains liable for all costs, decisions, and outcomes related to the vehicle's upkeep.

 

7. Inspection and Performance

The Client may inspect the Services upon completion. If defective or incomplete, the Client shall notify the Provider in writing within 48 hours, and the Provider shall remedy within a reasonable time.

8. Confidentiality

The Client and Provider agree to keep confidential all proprietary information disclosed during the term of this Agreement, including but not limited to fleet details, earnings projections, and business operations.

9. Independent Contractor

The Provider is an independent contractor and not an employee, agent, or partner of the Client. The Provider is responsible for its own taxes, insurance, and compliance.

10. Insurance and Liability

The Provider shall maintain adequate insurance for the Services. The Client represents that the specified vehicle is insured under Turo's policies or otherwise. Each Party shall indemnify the other for losses arising from its own negligence, subject to Florida law.

11. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, interpretation, breach, termination, or validity, shall be resolved through binding arbitration rather than litigation. Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration shall take place in Hillsborough County, Florida, and shall be conducted by a single arbitrator knowledgeable in service contracts. The Parties waive any right to a jury trial. The prevailing Party shall be entitled to recover reasonable attorneys' fees and costs. This clause is governed by the Federal Arbitration Act and Florida law, including Chapter 682, Florida Statutes.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Venue for any enforcement action shall be in Hillsborough County, Florida.

13. Severability

If any provision of this Agreement is held invalid or unenforceable, the remainder shall continue in full force and effect.

14. Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements. No amendment shall be effective unless in writing and signed by both Parties.

15. Notices

All notices required hereunder shall be in writing and delivered via email or text message as specified in Section 3.
